This corporate proposal voting data consists of records of all management-sponsored proposals that were initiated by U.S. firms during the period 2003 to 2015, augmented with standard company-related variables. The data contains 19,741 samples of 6 variables listed below. ISS Against Recommendation: Institutional Shareholder Services (ISS) is a company providing a subscription service that provides opinions on how shareholders should vote on each proposal. This is a binary variable that is 1 when ISS recommends voting against the proposal. Analyst Coverage: The logarithm of one plus the number of equity analysts that actively track and publish opinions on a company and its stock. Past Stock Return: Return of each stock Q ratio: The Q ratio, also known as Tobin’s Q, equals the market value of a company divided by its assets’ replacement cost. Firm Size: The logarithm of the book value of assets of the company Vote Share (response): Fraction of votes in favor of the proposal with passing threshold t = 0.5.
