VPRS 15740 Minutes of Meetings of the Board of Management

This series was created by the Cinemedia Corporation (VA 4117). It contains a complete set of signed minutes of meetings of Cinemedia's Board of Management. In accordance with the legislative requirements, minutes were created to document summary details of the proceedings and general administrative activities of the Board discussed at the meetings. This series records in a summary form deliberations, resolutions and decisions related to the wide range of activities for which the Board was responsible. The Cinemedia Corporation was established by the Cinemedia Corporation Act 1997 (No. 2) and resulted from the merger of Film Victoria 1 (VA 1071) and the State Film Centre (VA 2325). Whilst the legislation was proclaimed on 1 July 1997, the Corporation was, throughout the proceeding months, in the process of merging and operating administratively as a single entity. The contents of this series comprises minutes of all meetings and as such the date range of the contents predates the agency's date range. The initial Board represented the 'de facto' organisation. It consisted of the members of the Board of Film Victoria and the Council of the State Film Centre of Victoria. In accordance with the legislative provisions, the Board of Management consisted of the Chairperson, the Managing Director / Chief Executive Officer of the Corporation, and not less than 5 and not more than 7 other Directors. All members of the Board, other than the Managing Director were appointed by the Governor in Council. The Corporation was subject to the general direction and control of the Minister. The Act provided for a Board of Directors of the Corporation to be the governing body of Cinemedia responsible for the management of the affairs of the Corporation.
