NRS-12966 | Registers of Foreign Companies

A “Foreign Company” is a company incorporated outside the State of New South Wales, which establishes a place of business or carries on business within the State (1). Every foreign company was required to lodge all necessary documents for registration within one month from the date of establishment of a place of business or the commencement to carry on business (2).These registers contain information on the lodgement of documents under the Companies (Amendment) Act of 1906 concerning ‘foreign’ companies. Registers 1-4 of this series record the following information: name of company, nature of document lodged (e.g. Declaration, balance sheet, memorandum and articles), company number, date document lodged, when made up to, remarks. Registers 5 and 6 also record: country of incorporation, public officer, principal office, nominal capital, exemptions (if any), summary of capital and list of members, and list of mortgages or charges. Companies listed in these registers are in numerical order by company number and most volumes are not indexed. Many pages in these registers are stamped “For Further Entries See Card Register”.This series was replaced by a Ronedex card system in 1937. This card system became obsolete in 1969 when it was transferred onto a computer-produced printout and because of its poor storage conditions which resulted in the cards becoming badly water logged and rust damaged, these cards were authorised for destruction under DR2446 and DR2483 (3).Endnotes (1).
