The phenomenon of globalization post-1991 gave rise to constant interaction between international law firms and international clientele, there has been a movement of knowledge, systems, and practice to Indian law firms such that they are able to undertake a larger role in cross-border transactions, notably, Mergers and Acquisitions (M&A). This involves the merger of two-companies across borders, or the acquisition by one of the businesses or the control of another. Though a substantial part of the flow of the capital, goods and services in the twentieth century was from the developed world into emerging markets, the contrary vogue has lately become quite leading as well. This owing to a fact that law firms in the participating jurisdictions are called upon perpetually to advise. Hence, the impact of globalization on the legal profession has been an interesting subject matter of academic study. This research article with reference to India in the backdrop of cross-border M&A, which is the most typical transaction that utterly exemplifies the various facets of globalization. Although the cross-border market for M&A is relatively nascent in India, there is a paucity of widespread availability of these skills and the required sophistication, which bring about the consequential pressure on big lawyers within the Indian corporate legal profession.
1991年后的全球化浪潮催生了国际律师事务所与国际客户间的常态化互动,知识、运营体系与实务经验持续向印度律所转移,使其得以在跨境交易中承担更为重要的角色,其中尤以并购(Mergers and Acquisitions,简称M&A)为典型。所谓跨境并购,指的是跨边境的两家企业合并,或是一方收购另一方的业务或取得其控制权。二十世纪的资本、商品与服务流动主要由发达国家流向新兴市场,但近年来反向流动的趋势亦愈发显著。这一现象的根源在于,相关管辖辖区内的律师事务所始终被持续委托提供法律咨询服务。因此,全球化对法律行业的影响一直是学术研究的热点议题。本研究以印度为研究背景,聚焦跨境并购这一最能全面展现全球化多面性的典型交易类型展开探讨。尽管印度的跨境并购市场尚处于发展初期,但相关专业技能与成熟操作经验的普及度仍较为匮乏,这给印度企业法律界的资深执业律师带来了相应的执业压力。
